Definitions

The Company means Masterfield Training Centre and any sub-contractor for the company. E-learning course means educational courses offered by Masterfield Training Centre in electronic format. Customer means the person, firm or corporation identified as enrolling a Delegate on a e-learning course by way of a relevant written confirmation of enrolment. Confirmation means a legally binding contract instructing Masterfield Training Centre to invoice the Customer. Course Materials means any documentation, listings instructions and statements in either machine-readable or printed form.

General

These conditions shall be deemed to be incorporated in all contracts and in the case of any inconsistency with any order or letter or correspondence sent by the Customer to Masterfield Training Centre or any other communication between the Customer and Masterfield Training Centre whatever may be their respective dates and the provisions of these Conditions shall prevail unless expressly varied in writing and signed by a director on behalf of Masterfield Training Centre. If Masterfield Training Centre chooses not to enforce any of the Conditions of these Conditions this shall not affect the rights of Masterfield Training Centre under the remainder. If in any particular case any of these Conditions shall be held to be invalid or shall not apply to the contract the other Conditions shall continue in full force and effect.

Warranty

Masterfield Training Centre warrants that all services supplied hereunder will be conducted in a professional manner in accordance with generally recognised practices and standards. Masterfield Training Centre warrants that it will not knowingly include any copyright material in its Course Material without a license or without the consent of the copyright owner. Masterfield Training Centre warrants that all personnel provided by Masterfield Training Centre are employees of or contracted to Masterfield Training Centre.

Extent of Services

Masterfield Training Centre reserves full control of how its personnel will carry out its professional training. Any typographical clerical or other error or omission in any sales literature, administrative documentation, Course Materials, invoice or other document or information issued by Masterfield Training Centre shall be subject to correction without any liability on the part of Masterfield Training Centre. All Courses are delivered solely in the English language and all Delegates must be sufficiently proficient with the English language before attending a Course.

Authorisation and Obligations of the Customer:

All bookings for Public and In-house Courses must be supported by written confirmation. The Customer certifies that unless otherwise notified to and agreed with Masterfield Training Centre all Delegates attending a course are employed directly by the customer. In all cases the Customer undertakes to bring these terms and conditions to the attention of the Delegates attending Courses are suitably qualified and experienced to attend the Course in accordance with the published prerequisites.

Fees/Charges

Fore-learning Courses, prices include course materials and 3 months continous access to these using the access credentials provided by Masterfield Training Centre. For examination based courses there is an additional charge per delegate, for examination fees. Prices quoted exclude VAT or other sales taxes which will be added at the current rate. Masterfield Training Centre reserves the right to charge interest on late payments at 2.5% over bank base rate.

Payment Terms

Masterfield Training Centre will raise an invoice upon receipt of a Confirmation. Substitutions, Transfers and Cancellations by the Customer The Customer may not substitute a Delegate on an e-learninig Course as access is only granted for the Delegate only. Sharing access to the course materials is prohibited and can result in revoking access to the courseware. In normal circumstances, a provisional booking will be held on Masterfield Training Centre 's booking system for no more than 3 working days.

Cancellations and Transfer Policy

Customer shall have the right to cancel a booking without any liability prior to the receipt of the access details to the courseware.

Prerequisites and Admission

Masterfield Training Centre reserves the right to refuse access to any person whom it considers in its absolute discretion to be unsuitable for admission to Masterfield Training Centre courses.

Copyrights

Copyright and all intellectual property rights for all Course Materials shall remain the property of Masterfield Training Centre or the trading partner of Masterfield Training Centre responsible for developing that course. The Customer agrees not to reproduce, sell, hire or copy Course Materials (in whole or in part) and not to use such materials except for the purposes of post course reference.

Assignments

Masterfield Training Centre may assign all or part of its interest in this Agreement. The Customer may not assign or transfer this contract or any interest therein or claim there under without the prior written approval of Masterfield Training Centre.

Force Majeure

Masterfield Training Centre shall not be in breach of this contract if there is any total or partial failure of performance by it of its duties and obligations under this contract occasioned by any act of God, fire, act of government or state, war, civil commotion, insurrection, embargo, prevention from or hindrance from obtaining any raw materials or energy, sickness or other cause beyond its reasonable control. If Masterfield Training Centre is unable to perform its duties and obligations under this contract as a direct result of the effect of one or more of such causes that Masterfield Training Centre shall give written notice to the Customer of such inability stating the cause in question. The operation of these Conditions shall be suspended during the period in which the cause continues to have effect. Forthwith upon the cause ceasing to have effect Masterfield Training Centre shall give written notice thereof to the Customer.

Limits of Liability

Masterfield Training Centre entire liability and that of its employees and consultants and the Customer's sole remedies in respect of any claim shall be as set out in this clause unless otherwise expressly stated. The Customer's remedy in respect of any claim shall be limited to damages. Masterfield Training Centre will not accept liability for death or personal injury.

Non-procurement

The Customer agrees that if within a period of 6 months after the attendance of a Delegate on e-learning Course the Customer shall entice or procure any person to leave Masterfield Training Centre employment or to terminate a contract for services with Masterfield Training Centre it will make a payment to Masterfield Training Centre equivalent to 50% of the employee's gross annual remuneration at the date of termination.

Governing Law and Jurisdiction

The validity construction and performance of these Terms and Conditions are for convenience only and shall not affect the construction thereof.
